Terms of Service

The terms that govern your use of AgentPays.

The service

AgentPays (“AgentPays”, “we”, “us”) provides software that lets you grant your AI agents controlled spending capabilities. You configure budgets, velocity limits, and merchant rules; your agents submit purchase requests through our MCP server; and approved requests result in a single-use virtual card issued through your connected Privacy.com account.

These Terms of Service (“Terms”) form a binding agreement between you and AgentPays. By creating an account or using the service, you agree to these Terms.

Accounts

You must be at least 18 years old and able to enter a binding contract to use AgentPays. You are responsible for keeping your account credentials secure and for all activity that occurs under your account. Notify us promptly at jkevfeeiii@gmail.com if you suspect any unauthorized use.

Your responsibilities

You agree to:

  • Keep your AgentPays credentials, your Privacy.com API key, and any agent API keys we issue secure and confidential. Treat them as you would a password.
  • Configure spend rules — budgets, velocity limits, merchant allow/deny lists, and auto-approve thresholds — that match the level of trust you have in each agent.
  • Review and act on purchase requests that exceed your auto-approve threshold. Any request you approve is a purchase you authorize.
  • Only use AgentPays for lawful purposes. You are responsible for ensuring every purchase your agents request complies with applicable law and the merchant's terms.
  • Maintain sufficient funds on your connected Privacy.com account to support the purchases your agents make. AgentPays does not extend credit.
  • Provide and maintain a valid payment method for AgentPays fees.

Our role

AgentPays is an intermediary that enforces your spending rules and orchestrates virtual-card issuance. We do not control:

  • Whether any particular merchant accepts a virtual card issued through Privacy.com.
  • Whether Privacy.com approves a given card-issuance request, the limits or terms it imposes, or the availability of its service.
  • The behavior of your AI agents. Agents may misinterpret instructions, submit duplicate requests, or request purchases you did not intend. Your spend rules and review thresholds are your primary safeguard.
  • Disputes between you and a merchant. Refunds, chargebacks, and dispute resolution are handled through Privacy.com and the merchant directly.

Virtual cards are issued by Privacy.com under its own terms. AgentPays is not a bank, card issuer, money transmitter, or financial institution.

Fees and billing

AgentPays charges a fee on each successful purchase request that results in an issued virtual card. The fee is 1.5% of the transaction amount, with a minimum of $0.50 per transaction. Fees are collected through your saved Stripe payment method.

Fees may change. We will give reasonable advance notice of any change. Continued use of the service after a fee change takes effect indicates your acceptance of the new fees.

Purchases your agents make through virtual cards are separate from AgentPays fees and are funded through Privacy.com, not AgentPays.

AgentPays fees are non-refundable except where required by law. You are responsible for any taxes that apply to fees you pay us.

Acceptable use

You agree not to use AgentPays to:

  • Purchase or facilitate the purchase of anything illegal in your jurisdiction or the merchant's jurisdiction.
  • Evade sanctions, launder money, or finance terrorism. AgentPays may not be used by or on behalf of any individual or entity subject to U.S., U.K., or EU sanctions.
  • Engage in fraud, including unauthorized chargebacks, identity misrepresentation, or using payment methods you are not authorized to use.
  • Reverse engineer, decompile, or attempt to extract source code from the service.
  • Probe, scan, or test the vulnerability of the service or attempt to bypass authentication, rate limits, or other security measures.
  • Use the service to harass, defame, or harm other persons.
  • Resell or sublicense access to AgentPays without our written permission.
  • Submit content or instructions designed to overload, disrupt, or degrade the service or our sub-processors.

We may suspend or terminate accounts that violate this policy. We may also report suspected illegal activity to relevant authorities.

Account termination

You may terminate your AgentPays account at any time from Settings → Delete account. Upon deletion, we permanently remove your agents, spend rules, and stored credentials; certain transaction records may be retained as described in the Privacy Policy.

We may suspend or terminate your account if you violate these Terms, if we are required to by law, if continued service would create a security or fraud risk, or if we discontinue the service. Where reasonable, we will provide notice.

Sections of these Terms that by their nature should survive termination — including fees owed, disclaimers, limitation of liability, indemnification, and governing law — will survive.

Disclaimers

AgentPays is provided “as is” and “as available”, without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and title.

AgentPays is not a bank, lender, money transmitter, broker-dealer, investment adviser, tax adviser, or financial adviser. Nothing on the service constitutes financial, legal, tax, or investment advice.

We do not warrant that the service will be uninterrupted, error-free, or secure; that defects will be corrected; or that the service or the servers that make it available are free of viruses or other harmful components. Your use of the service is at your own risk.

Limitation of liability

To the maximum extent permitted by law, AgentPays and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or goodwill, arising out of or related to your use of the service.

Our total aggregate liability for any claim arising out of or related to these Terms or the service is limited to the greater of (a) the AgentPays fees you paid us in the twelve months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars (US $100).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you. In that case, our liability is limited to the smallest amount permitted by law.

Indemnification

You agree to defend, indemnify, and hold harmless AgentPays and its officers, directors, employees, and agents from and against any claims, damages, liabilities, losses, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your use of the service, (b) your violation of these Terms, (c) your violation of any law or third-party right, or (d) any purchase your agents make through the service.

Modifications to terms

We may modify these Terms from time to time. When we make material changes, we will update the “last updated” date and, where appropriate, notify you by email or through the product. Continued use of AgentPays after the effective date of the updated Terms indicates your acceptance of the changes.

Governing law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. The exclusive venue for any dispute arising out of or related to these Terms or the service shall be the state or federal courts located in Delaware, and the parties consent to personal jurisdiction in those courts.

If any provision of these Terms is held unenforceable, the remaining provisions will continue in full force and effect.
